GE HealthCare Plans $945 Million All-Cash Acquisition of Sofie Biosciences: Full-Scale Positioning in the "Final Mile" Delivery of Positron Radiopharmaceuticals and CDMO Capacity

GE HealthCare, the Chicago-based medical imaging and radiodiagnostics giant, has announced that it has entered into a definitive acquisition agreement to acquire radiopharmaceutical company Sofie Biosciences in an all-cash deal valued at $945 million from private equity firm Trilantic North America. The transaction is expected to complete all regulatory approvals and closing procedures by July 2027, and is expected to be accretive to GE HealthCare's revenue growth and adjusted earnings in the first full fiscal year following closing.

Founded in 2008 and headquartered in Dulles, Virginia, Sofie Biosciences has established a broad radiopharmaceutical production and distribution network across the United States, possesses a mature contract manufacturing (CMO/CDMO) business segment, and holds multiple high-value theranostics intellectual property assets. The company has long been contracted to produce a variety of cutting-edge radiopharmaceuticals, including GE HealthCare's fluorine-18 positron emission tomography (PET) tracer Flyrcado (flurpiridaz F 18 injection) for coronary artery disease detection.

For GE HealthCare, the core strategic value of this acquisition lies in fully positioning itself in the "Final Mile" of PET radiopharmaceutical distribution, which demands extremely high timeliness——namely, ensuring that finished injections with ultra-short half-lives are delivered to frontline clinical institutions as quickly as possible. Taking the widely used fluorine-18 (F-18) labeled nuclear medicine as an example, its physical half-life is only 110 minutes, which imposes near-stringent requirements on production radius, dense cyclotron deployment, and efficient cold-chain logistics networks.

Upon successful closing of the transaction, GE HealthCare will directly gain across the United States an industrial network comprising 15 contract manufacturing sites, including 21 operational medical cyclotrons for producing short-half-life radioisotopes, as well as a CDMO R&D and production base focused on theranostics. These physical production capacities will form a full-chain closed-loop synergy with GE HealthCare's existing molecular imaging equipment, digital workflow tools, and nuclear therapy infrastructure.

In addition, the acquisition will enable GE HealthCare to secure core U.S. market rights to FAPI-74, a broad-spectrum oncology diagnostic tracer in Phase III clinical trials, supplementing its existing radiopharmaceutical pipeline with a blockbuster product. According to GE HealthCare's estimates, there are currently approximately 20 PET tracers in the industry's R&D pipeline and more than 30 targeted radioligand therapies (RPTs). With the explosion of precision theranostics and targeted internal radiation therapy, related supply chain outsourcing services will see sustained expansion.

Following completion of the transaction, Sofie Biosciences will continue to operate as an independent manufacturing partner, continuously fulfilling its commercial commitments to provide contract manufacturing services for other major multinational radiopharmaceutical companies. GE HealthCare's Pharmaceutical Diagnostics segment generated $2.9 billion in revenue last year, with its imaging agents supporting approximately 140 million patient procedures worldwide annually. This deep integration will further consolidate its leading position across the entire industrial chain in the global radiopharmaceutical and precision nuclear medicine fields.
